The Dachshund Club of St. Louis, Inc. By-Laws

ARTICLE I.

Section 1. Any reputable person owning a Dachshund or sincerely interested in the Breed, and in good standing with the AKC and the DCA shall be eligible for membership in this club.

Section 2. Membership Classification. Membership shall be of two types - Regular and Associate. Regular members of good standing attending at least three meetings during the previous calendar year shall be considered active. Active members shall be entitled to vote, to hold elective or appointive office and to participate in all deliberations and activities of the Club. Associate membership shall be for all those who cannot attend at least three meetings in a calendar year and live beyond a seventy-five mile radius of downtown St Louis, Missouri, located from the center of the Poplar Street Bridge as it crosses over the Mississippi River.

Section 3. All Regular members of good standing who do not attend the required three meetings in a calendar year shall become inactive and shall enjoy all the privileges and activities of the Club except voting and being eligible to hold elective or appointive offices. Inactive Regular members shall be restored to active classification upon attending two meetings in a calendar year.

Section 4. Written application for membership with dues shall be made through any Regular active member of the Club. An applicant shall attend two meetings as a guest. At the next meeting the admission of the applicant shall be voted upon by the Regular active members in attendance and the applicant informed of the results of the vote.

Section 5. Annual membership dues shall be due and payable on the first day of January of each year, in the sum of ten dollars ($10.00) for each member. Dues for members joining after the first day of June will be one-half of the annual dues.

Section 6. Any Regular active member whose dues remain unpaid at the opening of the annual meeting shall be considered to be ineligible to vote. Any member whose dues remain unpaid on March 1 of any year shall be advised in writing by the Treasurer that he or she stands suspended. If the dues member shall still remain unpaid on March 31, such member shall be dropped from the membership roll.

ARTICLE II

OFFICERS

Section 1. The executive officers shall be elected by the active members present and voting at the annual meeting. A plurality of the votes cast shall be required for election.

Section 2. The President shall act as chief executive of the Club, preside at meetings, act as Chairman of the Board of Directors and otherwise perform all duties as are by custom, parliamentary practice and these By-Laws required of him/her.

Section 3. The Vice President, in the event of absence, disability or disqualification of the President, shall act in his/her capacity and otherwise perform all duties as are by custom, parliamentary practice and these By-Laws required of him/her.

Section 4. The Secretary shall prepare and keep for permanent record written minutes or notes of the proceedings of all meetings and act as custodian of the Club's files, records and property shall receive and submit to the proper authority all communications requiring the attention of any officer, committee or Board of Directors, attend to and dispose of all routine or Administrative correspondence and otherwise perform all duties as are by custom, parliamentary practice and these By-Laws required of him/her.

Section 5. The Treasurer shall receive and safely keep all monies paid in the treasury. The Treasurer shall disburse all monies for authorized expenditures, keep a detailed account of all receipts and disbursements and otherwise perform all duties as are by custom, parliamentary practice and these By-Laws required by him/her.

Section 6. The Board of Directors shall consist of the officers of the Club and at least four other members. The Secretary of the Club shall act as recording secretary of the board meetings.

ARTICLE III

Section 1. The Board of Directors shall be elected at the annual meeting of the Club. A plurality of votes cast by active members present shall be required for election.

ARTICLE IV

Section 1. Notice of all meetings shall be given to each member by the Secretary not less than five days preceding such meeting.

Section 2. No Proxies may be voted at any meeting of the Club or at the meetings of Committees of this Club. A Quorum of at least 20 percent of the Regular active membership shall be necessary for conducting any voting concerning the Club.

Section 3. All meetings of the Club shall be conducted in accordance with "Robert's Rules of Order", except where such rules conflict with the Constitution of By-Laws of the Club.

Section 4. Regular meetings shall be called at intervals of at least one month with at least four per year. There shall be a meeting in January, which shall be the annual meeting. All meetings except for emergency meetings, shall be the third Tuesday of the month. The membership may elect by vote to cancel some monthly meetings so long as a minimum of four per year shall be met.

ARTICLE V

Procedures for Amending By-Laws

Section 1. These By-Laws shall be amended, altered or repealed only by a two-thirds vote of active members in good standing present, at the annual meeting or at a Special Meeting called for that particular purpose provided a one month advance written notice of such Special Meeting and the proposed amendments, alterations or changes shall be given to all members.
